End User License Agreement (EULA) for Saibius Software

This End User License Agreement (hereinafter referred to as "this Agreement" or "Terms") constitutes a legally binding agreement between Artsnoa.com (hereinafter referred to as "Company") and any individual or legal entity (hereinafter referred to as "User") who installs, copies, downloads, accesses, or uses the high-performance file exposure web server software known as Saibius, along with its related documentation, interfaces, updates, and associated services (hereinafter collectively referred to as "Software").

By downloading, installing, copying, or using the Software, you agree to be bound by all terms and conditions of this Agreement. If you do not agree to these terms, you must not install or use the Software.

1 Grant of License

License Scope

Subject to compliance with this Agreement, the Company grants the User a non-exclusive, non-transferable, non-sublicensable, and revocable limited license to use the Software.

Permitted Use

The User may install and run the Software solely for legally permitted purposes and internal operational purposes expressly authorized by the Company.

Reservation of Ownership

This Agreement grants only a right to use the Software and does not constitute a sale. All ownership rights, copyrights, and other intellectual property rights in the Software remain exclusively with the Company.

2 Restrictions on Use

The User shall not, directly or through any third party, engage in any of the following activities:

Copying and Distribution

Copying, distributing, transmitting, transferring, reselling, renting, or pledging the Software as collateral without the prior written consent of the Company.

Modification and Adaptation

Modifying, translating, decompiling, disassembling, reverse engineering the source code of the Software, or creating derivative works based thereon. (Exception: to the extent expressly permitted by applicable law.)

Service-Based Provision Prohibited

Using the Software to provide hosting services, Software as a Service (SaaS), cloud services, or Managed Service Provider (MSP) services to third parties without a separate licensing agreement with the Company.

Security Circumvention

Removing, bypassing, or disabling any technical protection measures applied to the Software (such as license key verification, copy protection, etc.).

Benchmark Disclosure

Disclosing performance test (benchmark) results of the Software to any third party without the prior written consent of the Company.

3 Updates and Maintenance

The Company may provide updates to improve Software performance, fix bugs, and apply security patches.

Updates may be delivered automatically or manually according to the Company's policies. The Company shall not be liable for any issues arising from the User's failure to apply the latest updates.

The terms of this Agreement shall apply equally to any updated versions of the Software.

4 Data Collection and Privacy

For the purposes of quality improvement, license verification, and prevention of unauthorized copying, the Company may collect non-personally identifiable technical information such as the User's IP address, device information, and Software version information.

Any personal information provided by the User to the Company shall be collected and managed in accordance with the Company's Privacy Policy.

5 Disclaimer of Warranties

"AS IS" Provision

The Software is provided "AS IS" and "AS AVAILABLE". The Company makes no express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

No Guarantee of Integrity

The Company does not warrant that the Software will operate without interruption, be error-free, or that all defects will be corrected.

6 Limitation of Liability

Damages

To the maximum extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, special, or punitive damages (including but not limited to data loss, business interruption, or loss of profits) arising from the use or inability to use the Software.

Liability Cap

In no event shall the Company's total liability exceed the amount actually paid by the User to the Company for the use of the Software. If the Software was provided free of charge, the Company shall have no liability for compensation.

7 Termination

If the User breaches any provision of this Agreement, the Company may immediately terminate this Agreement and revoke the license.

Upon termination of this Agreement, the User must immediately cease using the Software and permanently delete or destroy all copies in their possession (including backups).

8 General Provisions

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Korea.

Jurisdiction

In the event of any dispute arising between the Company and the User in connection with this Agreement, the Suwon District Court shall have exclusive jurisdiction as the court of first instance.

Severability

If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the use of the Software and supersedes all prior oral or written agreements.
